These Terms & Conditions ("Terms") govern your use of the Adelphos Cellars website at adelphoscellars.com, our online store, wine club, and reservation system (together, the "Services"), operated by Adelphos Cellars ("Adelphos," "we," "us," or "our") at 11206 Indiana Avenue, Lubbock, Texas.
By using our Services, placing an order, joining the wine club, making a reservation, or booking a private event, you agree to these Terms. If you don't agree, please don't use the Services.
These Terms work alongside our Privacy Policy, which explains how we handle your personal information.
You must be 21 years of age or older to purchase alcohol, join the wine club, or consume alcohol on our premises. By using our Services or visiting our tasting room, vineyard, or venue, you're representing that you meet this requirement. We reserve the right to verify age and refuse service to anyone who doesn't.
You agree to use our website only for lawful purposes. You won't:
We may suspend or terminate your access to the Services if we believe you've violated these Terms.
We aim to keep product descriptions, availability, and pricing accurate, but errors happen. We reserve the right to correct pricing or availability errors, limit order quantities, and cancel or refuse any order, including after it's been placed, for any reason, including suspected fraud or a violation of alcohol shipping laws. If we cancel an order you've already paid for, we'll refund you.
Purchases are processed through Commerce7. Placing an order also means you agree to Commerce7's applicable terms for processing your transaction, in addition to these Terms.
Wine club membership terms, including shipment frequency, pricing, and any minimum commitment, are provided to you at the time of enrollment. You can review or update your membership by contacting us or through your Commerce7 account. Cancellations are handled according to the terms provided at signup; if you have questions about your specific membership terms, contact us directly.
We only ship wine to states where we're legally permitted to do so, and our checkout system is designed to prevent orders from being placed to a restricted state. Someone 21 or older must be available to sign for alcohol shipments on delivery, and shipments are packaged and labeled as required by law.
Depending on the destination state, there may be limits on how much wine you can receive within a given period. If a shipping limit affects your order, we'll let you know.
Risk of loss and title for products you purchase pass to you once the order is handed to the carrier. If your order arrives damaged, contact us and we'll make it right.
Tasting room reservations and appointment scheduling are subject to the specific policies provided at the time of booking, including any cancellation window or no-show policy. If you need to change or cancel a reservation, contact us as soon as you can.
Because wine is a consumable product, all sales are final once a bottle has been opened. If you receive a bottle that's defective or corked, contact us within a reasonable time of purchase and we'll replace it or issue a credit. We handle these on a case-by-case basis and appreciate you working with us in good faith.
Weddings, corporate gatherings, and other private events booked at our venue are governed by a separate signed event agreement, which covers deposits, cancellation terms, vendor requirements, and insurance. If anything in your event agreement conflicts with these Terms, the event agreement controls for matters related to your event.
Regardless of your event agreement, the following always apply on our premises: you must be 21 or older to consume alcohol, we reserve the right to refuse alcohol service to any guest at our discretion, and you're responsible for the conduct of your guests and vendors while on our property.
The Adelphos Cellars name, logo, and the content on our website, including text, photography, and design, belong to us or our licensors and are protected by copyright and trademark law. You may not use our name, logo, or content without our written permission, except as necessary to share or link to our website in the ordinary course of using it.
Our Services rely on third-party platforms, including Commerce7 (online store, wine club, reservations), HoneyBook (venue and event management), Calendly (scheduling), and our payment processors. Each of these providers has its own terms and privacy practices, and we're not responsible for their availability, errors, or how they handle your information beyond what's described in our Privacy Policy.
Our Services are provided "as is" and "as available." We don't guarantee that the website will be uninterrupted, error-free, or completely secure. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, Adelphos Cellars won't be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services or a visit to our premises, even if we've been advised of the possibility of those damages. Our total liability for any claim arising from these Terms or your use of our Services is limited to the amount you paid us in the twelve months before the claim arose.
Nothing in these Terms limits liability that can't be limited under applicable law.
You agree to indemnify and hold Adelphos Cellars, its owners, and employees harmless from any claim, loss, or damage, including reasonable attorneys' fees, arising from your violation of these Terms, your misuse of the Services, or your conduct on our premises.
Please read this section carefully. It affects your legal rights, including your right to go to court.
Agreement to Arbitrate. Except as set out below, you and Adelphos Cellars agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services will be resolved through binding arbitration, rather than in court, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
Class Action Waiver. YOU AND ADELPHOS CELLARS EACH AGREE THAT ANY ARBITRATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims.
Right to Opt Out. You can opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to [info@adelphoscellars.com] or by mail to the address above, including your name and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Lubbock County, Texas.
Small Claims Exception. Either party may instead bring an individual claim in small claims court if it qualifies.
Severability. If the Class Action Waiver above is found unenforceable, the entire arbitration agreement in this section is void, and the dispute will proceed in court instead of arbitration.
This arbitration agreement is governed by the Federal Arbitration Act.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Except as provided in the arbitration section above, any legal action must be brought in the state or federal courts located in Lubbock County, Texas.
We may update these Terms from time to time. The Effective Date at the top will always reflect the most current version. If we make material changes, we'll post a notice on our website. Your continued use of the Services after a change means you accept the updated Terms.
These Terms, together with our Privacy Policy and any specific terms provided to you at the time of purchase, enrollment, or booking, make up the entire agreement between you and Adelphos Cellars regarding your use of our Services. If any provision of these Terms is found unenforceable, the rest of these Terms will remain in effect.
